Start with an instant, attorney-built legal intake. Continue with me in a workroom built around your matter.
The Analyst provides a preliminary read and organizes the intake. If you retain me, I personally handle the legal judgment, drafting, review, and client communications in a private workroom configured around the agreed scope. I use frontier AI to organize complex legal work and build matter-specific systems. I remain responsible for the legal judgment, drafting, review, and client relationship. My practice is writing-first so the facts, documents, and advice remain organized. Start with the free Analyst or a $240 Written Attorney Consultation. Paid strategy sessions remain available by appointment when a live discussion is genuinely useful.
A California attorney building the AI tools, document generators, and client workrooms that big firms keep for themselves, for solo and small firms. Built and curated by Sergei Tokmakov, a California attorney licensed since 2011. See the AI workrooms →
What Terms.Law is: Terms.Law is the online legal practice of Sergei Tokmakov, Esq., California Bar #279869. The site combines free legal tools, document generators, AI-assisted intake, and private client workrooms. The AI Legal Analyst organizes facts and routes matters for attorney review. It is not the lawyer and does not create an attorney-client relationship. Paid work is flat-fee, from a Written Attorney Consultation to coordinated legal packages. Sergei personally handles paid legal work after conflict clearance and a written engagement.
Stripe holds, demand letters, contract review, unpaid invoices, business disputes, or filing strategy. Describe it, dictate it, or upload a document for a quick read.
Built from Sergei’s demand-letter, contract-review, frozen-funds, and business-dispute playbooks.
The Analyst organizes what happened, maps the evidence you have, identifies what is missing, and helps determine whether attorney review is the practical next step.
- Organizes facts
- Maps your evidence
- Identifies what is missing
- Routes to attorney review

Accepted matters that involve ongoing documents, collaboration, or status tracking are delivered through a private client workroom configured around the matter and agreed scope. The screenshots below are from my public demo rooms; every party and document in them is fictional.

Enterprise legal platforms sell the same template portal to every firm. Each of my workrooms is generated for one client and one matter.
The public AI Legal Analyst is free triage. A private workroom is created after conflict clearance, scope confirmation, and engagement.
The Independent AdvantagePrecision beats scale.
Advanced legal technology should not be limited to institutions with enterprise budgets. Large firms scale through standardization. I use frontier AI differently: to build a focused legal workspace around one client and one matter, while I remain responsible for the judgment, drafting, and strategy.
The result is defined scope, fixed fees, direct attorney attention, and tools shaped around the work rather than forcing the work into a generic system.

Three Ways I Help Clients
Fixed fees. Fast turnaround. You talk to me, not an intake team.
Demand Letter Package
I write the demand letter on attorney letterhead. For serious or litigation-ready disputes, the Litigation-Leverage Demand Package adds a case-specific draft complaint or arbitration demand attached as settlement leverage; straightforward matters take the standard attorney letter alone. Delivered by certified mail (signature requested) plus email. Includes first-response review and a short next-step recommendation. If the other side responds with counsel or a conditional settlement offer, a separate Pre-Litigation Negotiation Phase runs the matter through settlement or impasse.
- Litigation-Leverage Demand Package - draft complaint or arbitration demand attached
- Attorney Demand Letter - straightforward disputes
- Pre-Litigation Negotiation Phase - after a response, through settlement or impasse
- Drafted on my letterhead, certified mail + email delivery
- First-response review and short recommendation included in the base packages
- Litigation filing or appearance available as a separate California-only engagement, quoted after scope review
"Sergei drafted an excellent demand letter that got results within a week. The other party paid in full."- Upwork client, $12,500 recovery
Contract Review + Redlining
I review the agreement, flag the real risks, and redline the language you need to send back. Risk-by-risk analysis with replacement language so you can negotiate from a stronger position.
- Create or redline one contract, three revision rounds included
- Risk analysis with replacement language
- Plain-English explanation of the real red flags
- Direct attorney work, no junior associates
"Very detailed and timely responses. He was very knowledgeable of California Employment Contract Law and explained all the nuances clearly."- Upwork client, contract review

How It Works
Simple intake, direct attorney review, and clear next steps.
⚖ Demand Letter
Tell the AI what happened
Use the intake chatbox below. Who owes you, how much, and what you've tried. I reply within 2 business days.
I draft your letter
Demand letter on attorney letterhead. For larger matters, I may include a case-specific draft complaint or arbitration demand as a leverage document, if appropriate for the forum and scope. Nothing is filed unless a separate filing engagement is confirmed. You review and approve.
Delivered by certified mail
I send it by certified mail (signature requested) plus email, which often prompts a response within a few weeks and preserves your next step if it does not.
📄 Contract Review
Upload your contract
Drop the PDF or Word file into the chatbox below. Tell me what concerns you. I'll confirm the tier and timeline.
I review every clause
You get a marked-up copy highlighting risks, missing protections, and unfavorable terms with replacement language.
I walk you through next steps
I explain what to push back on and how. If you need revisions, I can rewrite the clauses for you.
💬 Consultation
Describe your situation
Use the chatbox below: it triages your matter and routes you to me with the right intake. For booked time, grab a slot via the scheduler. (Plain email at owner@terms.law also works as a backup.)
I confirm scope
I’ll reply with which package fits the matter (demand letter, contract review, or a separately quoted engagement) and what documents I need next.
You get a concrete action plan
No generic advice. I tell you exactly what to do next, what risks to watch for, and when to escalate.
Where I am useful, and where I am not
Honest about scope. If your matter is not the kind I handle well, I would rather tell you now than bill you to find out.
Best fit
- You have a contract, invoice, email thread, or screenshots, and the dispute is documented in writing.
- You want a clear next step in writing: a letter, a redline, a filing package, or a strategy session.
- You are willing to pay attorney rates for attorney work when the matter actually calls for it.
- The dispute is in California, or the contract analysis does not require courthouse appearances in another state.
- You can describe what happened in a paragraph or two and respond to follow-up questions by email.
Not the best fit
- You need an in-person emergency court appearance, restraining order hearing, or trial coverage on short notice.
- You are looking for contingency-only representation with no fee paid up front.
- You want extensive free legal analysis before deciding whether to retain anyone.
- The matter is criminal, family, immigration, or personal injury, which I do not handle.
What I've Built on Terms.Law
Every guide, calculator, and template below is free. When you need attorney-level work, I handle it personally.
Ready to move on this?
Describe the dispute or upload the contract. I will tell you the next step and the flat fee before any work begins.
Common questions before you start
How fast do I get a finished demand letter or contract review?
Most fixed-fee deliverables are completed within 2 business days after scope is confirmed and all needed documents are received, unless we agree otherwise. Rush turnaround is available; mention it in your intake message.
What do I need to send you to get started?
For a demand letter: a short description of what happened, the other party's name and contact info, and any supporting documents (invoices, contracts, screenshots). For a contract review: the agreement itself in PDF, Word, or even a photo of the pages.
Do you only handle California matters?
I am licensed in California. I often handle contract review, business documents, and pre-litigation demand work involving parties outside California when the scope is appropriate. I screen jurisdiction, governing law, forum, and local-practice issues before accepting the matter. Court filing, appearances, or representation outside California require separate review and may require local counsel.
What happens after I submit an intake message?
When you request attorney review or submit a paid-matter intake, I personally review the matter and reply with whether I can help, the proposed scope, the fee, and what I need next. No obligation until you say go.
Is the AI chatbox giving me legal advice?
No. The AI Legal Analyst provides general legal information to help you understand your situation. It is not legal advice and does not create an attorney-client relationship. When you are ready for attorney-level work, I take over personally.
Does the demand letter package include a draft complaint?
It depends on the matter. The Attorney Demand Letter covers one demand letter on firm letterhead, USPS certified-mail (signature requested) delivery, up to two client revision rounds, and review of the first response with a short next-step recommendation. For straightforward disputes. The Litigation-Leverage Demand Package is the letter plus, where appropriate, an attorney-reviewed, case-specific draft complaint or arbitration demand tailored to the identified facts and forum, attached when the recipient needs to see that filing is a real next step. Nothing is called court-ready until that document has completed attorney review. Neither base package includes counter-letter, ongoing settlement negotiation, or settlement agreement review. If the other side responds with counsel or a conditional settlement offer, a separate Pre-Litigation Negotiation Phase runs through settlement or impasse. Filing and representation are a separate California-only engagement, quoted after scope review. Current flat fees for each tier are listed in the packages section above.
What if they ignore the demand letter?
I follow up with one short notice that the deadline has passed and you are prepared to escalate. If they continue to ignore it and you want to file, that is a separate engagement. If you have the Litigation-Leverage Demand Package, the draft complaint or arbitration demand is already tailored to your case and forum, which makes the filing step efficient. If you started with the standard attorney letter, I can prepare the complaint as a next step.
What if they respond with counsel or a settlement offer?
That moves the matter into the Pre-Litigation Negotiation Phase, a separate flat-fee phase for serious disputes. It includes review of the response, an attorney counter-letter, written settlement negotiations through settlement or impasse, and draft/review/revision of one settlement agreement or mutual release for the dispute. It does not include filing, arbitration initiation, court appearances, discovery, or enforcement.
Can we get on a quick call first?
I don't do free quick calls, free initial consultations, or free document reviews, even for large or ongoing work. My practice is writing-first so the facts, documents, and advice stay organized and reviewable. Start with the free AI Legal Analyst or the Written Attorney Consultation; when a live discussion is genuinely useful, book the Zoom strategy session.
