What a redline actually looks like

These are anonymized examples from recent client work. Every redline is done by me personally, not by AI and not by a paralegal.

SaaS Enterprise Agreement

42-page enterprise SaaS agreement

Client received a 42-page enterprise SaaS agreement from a Fortune 500 vendor. I redlined 23 clauses including an uncapped indemnification, unilateral modification rights, and an aggressive data ownership clause. The vendor accepted 19 of 23 changes.

Vendor accepted 83% of redlines without pushback
Commercial Lease

Triple-net lease with personal guarantee

Landlord's attorney sent a triple-net lease with a personal guarantee and broad default triggers. I redlined the guarantee scope, added a cure period for monetary defaults, and capped CAM pass-throughs.

Personal guarantee limited to 6 months rent; cure period added
Influencer/Creator Agreement

Content creator agreement with perpetual rights

Brand sent a content creator agreement claiming perpetual worldwide rights to all content plus a 24-month non-compete. I redlined ownership to limited license, added term limits, and removed the non-compete entirely.

Creator retained ownership; brand got 12-month license
Vendor Supply Agreement

Manufacturer contract with unilateral pricing

Manufacturer's contract had a unilateral price adjustment clause, no force majeure, and buyer-side indemnification for product defects. I rewrote all three provisions with balanced language.

Price adjustments capped at CPI; mutual force majeure added

Issues I redline most often

Every contract is different, but these are the clauses where I consistently draft replacement language.

Uncapped indemnification — Disproportionate risk allocation
🔄
Unilateral modification — Other side can change terms without consent
🔒
Overbroad IP assignment — Giving away more than the deal requires
🚫
Missing termination rights — You cannot exit without penalty
💰
Personal guarantees — Owner liability beyond the entity
📝
Non-compete overreach — Restrictions broader than necessary
🔁
Auto-renewal traps — Locked in without adequate notice
📋
Data ownership gaps — Unclear who controls the data

When redlining makes sense

📄
You received a contract from the other side — That you cannot sign as-is
You need to negotiate — But do not want to draft from scratch
📦
You want replacement language ready to send — Not just a risk memo
The other side has more leverage — And you need tight legal language to push back
You are under deadline pressure — And need a clean redline fast
💼
You want an attorney's language — So the other side takes the pushback seriously

Frequently asked questions about contract redlining

What is the difference between a contract review and redlining?

A contract review gives you a risk memo explaining what is dangerous and why. Redlining goes further: I markup the document with tracked changes and write replacement language for every problematic clause. You get a document you can send directly to the other side.

How long does redlining take?

Standard redlines take 3-5 business days. Rush turnaround (24-48 hours) is available for +$150. Complex or multi-agreement sets may take longer, and I will give you a timeline before starting.

Will the other side know an attorney did the redlines?

That is up to you. Some clients tell the other side their attorney made the changes. Others present them as their own. Either way works.

What if the other side rejects my redlines?

I include negotiation notes explaining why each change matters and what is market-standard. If they push back, I can help you prioritize which points to hold firm on and where to compromise.

Can you redline a contract I already partially negotiated?

Yes. Send me the current version with whatever changes you have already made. I will pick up where you left off.

Do I need a California contract for you to redline it?

No. I redline contracts governed by any state's law. The work focuses on clause structure, risk allocation, and negotiation language rather than state-specific litigation.
