HomeServices › AI Draft Review

Sergei Tokmakov, Esq. · California attorney since 2011 · Bar #279869

You already have drafts. I make them hold up.

AI-generated contracts, downloaded templates, documents inherited from a previous deal: they are often 80 percent right. The missing 20 percent is usually the part that decides the dispute. I review what you have, keep what is good, and fix what would fail, with a tracked redline and plain-English comments on every material change.

What clients bring me

  • ChatGPT or Claude drafts of Terms, NDAs, MSAs, and privacy policies
  • Template-site documents bought or downloaded, never reviewed
  • Inherited contracts from an old lawyer, a co-founder, or a prior deal
  • Counterparty paper you are about to sign and cannot fully read

Fixed fees, tracked redlines, two business days

Every tier delivers editable Word files with tracked changes and brief written comments explaining what I changed and why. Standard turnaround is two business days after documents and scope are confirmed.

What I actually find in AI and template drafts

These are recurring, real patterns from paid reviews, not scare copy. Most drafts have at least two of them.

Confident citations to law that does not exist

AI drafts cite statutes and cases that are wrong for your state or simply invented, and the clause built on them does not do what it claims.

Liability caps that do not hold

Uncapped indemnity next to a capped liability clause, carve-outs that swallow the cap, or caps unenforceable under the governing state's law.

Documents that contradict each other

The Terms say one thing about data, the Privacy Policy another, the DPA a third. Procurement teams and regulators read all three.

The wrong state's rules

A Delaware-style template governing a California relationship, non-competes that are void where you operate, or consumer terms that ignore the states your users are actually in.

AI and data terms that do not match the product

No customer-upload license, silent on model training, no AI-output ownership language, or a data clause written for a product you do not run.

Missing operational clauses

No workable termination path, no fee-recovery clause for collections, acceptance terms that never start the payment clock.

How it works

Send what you have

Pay the tier that fits, then email your drafts and two sentences on what the business does. Not sure of the tier? Describe your documents in the intake bar and the AI Legal Analyst maps the fit before you pay.

I review and harden

I personally read every clause against how your business actually operates, keep what is good, and rewrite what would fail. No junior review, no outsourcing.

You get the redline

Tracked-changes Word files with brief comments on every material change, within two business days of confirmed scope. Revision rounds are included per tier.

Common questions

Can I just use the contract ChatGPT or Claude wrote for me?
You can sign anything. The question is what happens when the contract is tested: by a nonpaying customer, an enterprise procurement team, a regulator, or opposing counsel. AI drafts are often 80 percent right, and the missing 20 percent is usually the part that decides the dispute. I keep what is good in your draft and fix what would fail.
What do you actually deliver?
A tracked-changes redline plus brief written comments explaining each material change: what the risk was, what I changed, and why. Multi-document sets are also reconciled with each other so definitions, liability, and data terms agree across the set. You receive editable Word files.
How fast is the turnaround?
Two business days after I receive the documents and confirm scope, for standard matters. If you have a signing deadline, flag it in your intake message and I will tell you honestly whether rush turnaround is available.
Do you review documents for free first?
No. Every review is a paid, fixed-fee engagement, which is why it gets attorney time and judgment rather than a sales screen. If you are not sure which tier fits, describe your documents in the intake bar, or email me at owner@terms.law with a list of what you have.
