I built this shareholder agreement generator because too many founders skip the shareholder agreement entirely, assuming their certificate of incorporation covers everything. It does not. A shareholder agreement governs the relationship between shareholders — what happens when someone wants to sell their shares, how deadlocks get resolved, who sits on the board, and what protective provisions minority shareholders get.

This generator covers all the critical provisions: Right of First Refusal (ROFR) ensures existing shareholders get the chance to buy shares before outsiders do. Drag-along rights allow majority shareholders to force a sale when a good offer comes in. Tag-along (co-sale) rights protect minority shareholders by letting them join any sale on the same terms. Deadlock resolution prevents the company from being paralyzed when equal shareholders disagree.

The agreement also includes governance provisions like board composition with designation rights, supermajority voting requirements for protective provisions, dividend policy, information rights, and non-compete/non-solicitation covenants. These are the provisions that prevent disputes and provide clear rules for how the company operates.
