Why AI Model Licensing Agreements Matter

As AI technology becomes central to business operations, proper licensing agreements are essential for both model developers and licensees. Unlike traditional software licenses, AI model agreements must address unique issues such as training data provenance, output ownership, model drift, responsible use requirements, and the evolving regulatory landscape.

Key Considerations for AI Licensing

Output ownership is often the most negotiated provision. The agreement must clearly state whether the licensee owns outputs generated using the model, whether the licensor retains any rights to those outputs, and whether anonymized usage data can be used for model improvement.

Usage restrictions reflect responsible AI principles. Standard prohibitions against illegal use, weapons development, and harmful content generation are baseline requirements. Many agreements go further, requiring human oversight for high-risk applications and prohibiting use in critical infrastructure without safeguards.

Intellectual property protection for the model itself requires careful structuring. The agreement should address who owns improvements and derivatives, whether the licensee can fine-tune the model, and what happens to custom training data provided by the licensee.
