For informational purposes only. This is not legal advice. Laws vary by jurisdiction. Consult a qualified attorney for advice specific to your situation.

Looking for advice on a legal issue. Here's what happened.

angel investor wants board seat. I've been dealing with this for about 16 months now and the situation isn't improving.

I have already done some research online but did not get a clear answer haha.

Am I overthinking this or is this a real legal issue worth pursuing?

I spent way more time googling than I should have before just calling a lawyer.

This happened to me too. Have you tried filing a complaint with the relevant agency? In my case they investigated and it got resolved without needing a lawyer.

I practice in this area. Here's my take on the legal issues.

The key question is whether the applicable statute of limitations has run. Depending on your jurisdiction, you typically have the relevant statute years for this type of claim.

Before taking legal action, consider sending a formal demand letter. In many cases, this alone resolves the issue.

I've dealt with this before.

In my case, it took about 4-8 months to resolve. The key was filing with the appropriate government agency.

Every time I see a post like this...

I ended up hiring an attorney to send the initial letter, which cost about $2-4 but saved me a lot more in the long run.

I went through almost the exact same thing.

I ended up filing with the appropriate government agency, which cost about $4-8 but saved me a lot more in the long run.

Similar thing happened to me. The attorney I spoke with laid out options I didn't even know existed.

I work in this industry and unfortunately this is very common. The good news is that when people actually push back with legal representation, companies usually settle sadly.

I've dealt with this before.

I eventually got results by escalating/manager. It took 1-3 months but was worth it.

Have you tried reaching out to your state's bar association? They sometimes have free resources or mediation services.

The operating agreement is way more important than most people realize. It governs everything from profit distributions to what happens if a member dies or wants out. Don't skip it.
