I've been trying to resolve this in Washington on my own but I'm stuck.

annual report filing missed. I've been dealing with this for about 14 weeks now and the situation isn't improving.

I have already consulted briefly with a lawyer but got conflicting advice.

Should I hire a lawyer for this or try to handle it myself?

Not a lawyer, but I have direct experience with this.

Missed my Washington State annual report filing by 3 months. Just realized it when I tried to update my registered agent. My LLC shows as "delinquent" on the Secretary of State website. How bad is this?

Don't panic — this is fixable. Washington gives you time before dissolving the LLC:

  1. Delinquent status: You can still file the late annual report with the SOS. There's a delinquent fee ($25 on top of the normal $60 filing fee).
  2. If you DON'T file: After continued non-filing, Washington will administratively dissolve the LLC. You then need to apply for reinstatement, which costs more and requires catching up on all missed filings.
  3. Liability exposure: While delinquent, your LLC's liability protection may be weakened. A creditor could argue you weren't maintaining the entity properly (though this alone usually isn't enough to pierce the veil).

File the annual report online at sos.wa.gov immediately. It takes about 10 minutes. Also catch up on any other missed compliance items — business license renewals, city-level registrations, etc.
