angel investor wants board seat. I've been dealing with this for about 13 weeks now and the situation isn't improving.

I demanded to talk to a manager and suddenly they could help/manager. It took 1-3 months but was worth it.
Real talk: have you tried reaching out to your state's legal aid society? They sometimes have free resources or mediation services.

I've formed companies in both Delaware and Wyoming. For a small business with no outside investors, Wyoming is usually better — no state income tax, no franchise tax, and strong privacy protections.
