Mutual versus one-way, and what the agreement does

A confidentiality agreement for a private adult relationship protects sensitive personal information from disclosure. The generator builds either structure.

Mutual (both parties)

Both parties are bound to keep the other's information confidential. Use this when each side shares sensitive information and both want protection.

One-way (receiving party only)

Only the receiving party is bound. Common for event or club attendance, a professional provider and client relationship, or involvement with a public figure.

Important Legal Note: This Agreement is designed to protect privacy in the context of consensual adult relationships and alternative lifestyle choices. It does not and cannot be used to conceal illegal activity, abuse, non-consensual acts, or to prevent legally required disclosures. Courts may refuse to enforce confidentiality provisions that violate public policy.

Confidential scope

What information the NDA can protect

The generator lets you select which categories of information are treated as Confidential Information. The more precisely you define the scope, the stronger the agreement.

The eight scope areas you can select

  • Health information, medical conditions, or STI status.
  • Financial details, financial arrangements, compensation, or monetary transactions.
  • Locations visited, residences, or places of meeting.
Media restrictions and power-exchange acknowledgment

You can set media controls to strict (no media without the prior express written consent of both parties), moderate (allowed with consent and kept strictly confidential), or flexible.

For D/s dynamics, the optional Power Exchange Acknowledgment clarifies that the dominance and submission dynamic does not override legal obligations: the NDA is a separate legal contract that exists independently of any power exchange dynamic, and both parties retain full legal capacity and authority to enforce it regardless of any power exchange roles.

Enforceability

Liquidated damages, remedies, and the limits of enforcement

Pre-determined damages and clear remedies make enforcement easier, but enforceability still varies by jurisdiction.

How liquidated damages work in this agreement

Liquidated damages are pre-determined damages for breach, which makes enforcement easier. The generator offers None, Low ($5,000), or a custom Moderate or High amount. The clause states that a breach would cause irreparable harm that is difficult to quantify, that the amount represents a reasonable estimate of actual damages, and that it is not a penalty.

The agreement also provides that the non-breaching party may seek injunctive relief and may recover reasonable attorneys' fees incurred in enforcing the agreement.

Legal Validity and Enforceability: While NDAs in the alternative lifestyle context can provide meaningful privacy protection, enforceability varies by jurisdiction. Courts may refuse to enforce provisions deemed contrary to public policy, unconscionable, or that attempt to conceal illegal activity. Both parties should consult with attorneys familiar with privacy law in their jurisdiction before relying on this Agreement for significant protection.

Safety and the law

What an NDA can never do

Federal law and public policy limit confidentiality agreements. The generator builds these limits into the document.

Consent and Safety Override: Nothing in this Agreement shall prevent disclosure necessary to report abuse, non-consensual acts, illegal activity, or imminent threats to health or safety. This Agreement protects privacy in consensual relationships only and does not shield illegal or harmful conduct.

Speak Out Act and forced-arbitration compliance

The agreement includes a compliance provision: it shall not be interpreted or applied in a manner that would violate the Speak Out Act (Public Law 117-224), the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act (Public Law 117-90), or any applicable state law restricting the enforceability of nondisclosure agreements in the context of sexual assault, sexual harassment, or workplace discrimination. Any provision that conflicts with these laws is void and severable.

The generator also lets you list permitted disclosures, for example to licensed therapists, attorneys, law enforcement, or medical professionals, when necessary and limited to what is required.
